What is an investment registration certificate?

According to Clause 11, Article 3 of the Investment Law 2020, “The Investment Registration Certificate is a paper or electronic document recording the investor's registration information about the investment project.” This is a document issued by a competent authority in Vietnam, confirming the rights and investment content when the investor meets all conditions according to current legal regulations.

Cases requiring adjustment of Investment Certificate

Investors are required to carry out procedures to adjust the Investment Registration Certificate when there is any change to any of the recorded information, including but not limited to:

Change general project information: Investment project name, investment project code.
Change investor information: Name, address, passport number/ID card/CCCD, contact information (phone number, email) of the investor.
Change of project location and scale: Location of investment project implementation, land use area, objectives and scale of investment project.
Financial changes and deadlines: Project investment capital, capital contribution progress and capital mobilization, project operation period.
Change project progress: Progress of the project's main operational objectives, or progress of each phase if the project is divided into multiple phases.
Change incentives, investment support: Forms of incentives, investment support and basis and conditions for application (if any).
Change other conditions: Conditions for investors to implement investment projects (if any).

Important Note: Failure to promptly adjust the Investment Registration Certificate when there is a change will lead to the risk of being subject to administrative penalties (from VND 70,000,000 to VND 100,000,000), being denied related procedures on tax, customs, immigration, or affecting the legal rights and interests of the project.

Application for adjustment of Investment Registration Certificate

The dossier components may vary depending on the specific adjustment content and type of enterprise, however, basic documents usually include:

Document requesting adjustment of investment registration content.
Report on the implementation status of the investment project up to the time of the proposed change.
Decision/Minutes of the meeting of the Board of Members (for LLCs with two or more members), the Board of Directors (for Joint Stock Companies) or the Decision of the owner (for LLCs) MTV) on changing investment project information.
Documents proving the legal status of the investor (copy of the Business Registration Certificate, copy of the issued Investment Registration Certificate, etc.).
Documents related to the content of the adjustment (e.g. financial statements, bank balance confirmation for the increased capital, environmental permits, fire prevention and fighting permits if there are relevant changes).
Document of the Investment Registration Authority approving capital contribution, share purchase, capital contribution purchase of foreign investors and economic organizations with foreign investment capital (if there are new foreign investors participating or in cases where capital contribution registration procedures must be carried out).
Authorization letter for the person submitting the application and receiving the results if he/she is not the legal representative and a copy of the identity document of the authorized person.
