We will provide detailed advice on cases requiring license adjustment and related legal regulations according to Decree 07/2016/ND-CP and guiding documents:
- Change of name or address of head office of foreign trader (parent company).
- Change of Head of Representative Office.
- Advice on conditions for new leaders (not allowed to hold certain positions concurrently).
- Guidance on personal income tax obligations of former principals.
- Change the name of the Representative Office.
- Change the scope of activities of the Representative Office.
- Advice on whether the content of activities must comply with Vietnam's commitments in international treaties.
- Cases requiring approval from the specialized management ministry/industry.
- Change the head office address of the Representative Office within the same province or centrally-run city (or within the geographical area under the management of a Management Board).
- Important Note: The deadline for carrying out license adjustment procedures is 60 working days from the date of change. If the deadline is exceeded, administrative penalties may be imposed according to Decree 98/2020/ND-CP (fines from VND 20,000,000 to VND 40,000,000 for organizations).
Support in preparing and completing documents:

- Original copy of the current Representative Office Establishment License.
- Documents proving the change of content (depending on each case):
- For changes in parent company name/address: Legal documents proving the change issued by a competent foreign authority (consular legalized and notarized translation).
- For change of head: Document of appointment/assignment of new head, copy of passport/ID card/CCCD of new head (notarized/notarized translation), documents proving that old head has fulfilled personal income tax obligations.
- For change of representative office address: Lease/borrowing contract of new location, documents on proposed head office location (ensure compliance with Vietnamese law).
- Other documents as specifically required by the licensing authority.
- Note on document legality: Foreign documents must be translated into Vietnamese and certified according to Vietnamese law, and must be consularly legalized according to regulations (unless there is an international treaty exemption).
Representative to carry out procedures and monitor progress:

- Submit application for adjustment of the License to establish a Representative Office to the Department of Industry and Trade of the province/city directly under the Central Government where the Representative Office is located (or the Management Board of Industrial Parks, Export Processing Zones, Economic Zones, Industrial Parks if the Representative Office is located in these areas).
- Closely monitor the application processing, work directly with Department of Industry and Trade (or Management Board) officers to explain, supplement documents (if any) and handle arising issues.
- Business representative receives adjusted Representative Office Establishment License.
- Publish the adjustment information on the website of the Licensing Authority.
Support for post-adjustment procedures:

Procedure for performing representative office license adjustment service
We commit to complete all procedures and hand over the adjusted Representative Office License within 05 working days from the date of receipt of complete and valid application and required documents that have been consularly legalized/translated.
Step 1: Consulting and Receiving Information (1 day)
- GT Law receives requests, consults on legal regulations related to the content of the adjustment and requests customers to provide documents.
Step 2: Prepare documents (2-3 days, depending on the speed of customer document provision)
- Guide customers to carry out consular legalization and notarized translation of foreign documents (if necessary).
- GT Law drafts documents according to the prescribed form and completes the adjustment dossier.
Step 3: Submit Application and Track Progress (3-5 working days at the Licensing Authority)
- GT Law represents clients in submitting applications to the Department of Industry and Trade (or relevant Management Board).
- Monitor, work and explain to state agencies (only request additional information a maximum of 1 time) until the application is approved and the Adjustment License is issued.
Step 4: Deliver Results
