Latest business registration guide in 2025

 

From July 1, 2025, the country will merge administrative agencies to streamline the apparatus and reduce the time to carry out administrative procedures. Although business registration is a basic procedure, it is necessary to understand it clearly to avoid incorrect implementation of administrative procedures, wasting time, costs and unnecessary risks. The following Law on Traffic will guide basic business registration in 2025.

To carry out business registration procedures, you need to go through the following basic steps:

Step 1: Prepare business establishment documents

➡️ Choose the right type of business with the company's business goals and plans. In Vietnam, you have the right to choose from the following types of businesses:

  • Joint Stock Company (JSC)
  • One Member LLC
  • Limited liability company with two or more members
  • Partnership
  • Private enterprise

➡️ Drafting business establishment documents:

  •  Business registration application.
  •  Company charter.
  •  List of founding shareholders and list of shareholders who are foreign investors (for JSC).
  •  List of members (for LLCs with two or more members and partnerships).

➡️Prepare certified copies of accompanying documents:

  • Identity of shareholders and company members is the company's individual.
  • Business registration certificate of members and shareholders who are organizations. For members who are foreign organizations, a copy of legal documents of the organization must be consular legalized.
  • Investment registration certificate for members who are economic organizations with foreign investment capital.
  • Legal documents of the individual for the legal representative of the enterprise.

Step 2: Submit application for business registration

Business founders submit the following form:

  • Submit directly at the Business Registration Office.
  • Submit online: Register a business online at the National Business Registration Portal at: https://dangkykinhdoanh.gov.vn
    Business founders can authorize organizations or individuals to carry out business registration procedures.

Step 3: Get results

In case of receiving sufficient valid documents, the Business Registration Office - Department of Finance will issue the Business Registration Certificate within 03 working days.
Result received: Certificate of business registration.

  • Fully fulfill tax obligations: Enterprises are responsible for declaring and paying taxes according to regulations, including Value Added Tax (VAT), Corporate Income Tax (CIT), and Personal Income Tax (PIT). At the same time, financial reporting and tax settlement must be done within the prescribed time limit.
  • Timely update of business information: Any changes related to business registration information such as company name, head office address, legal representative, or charter capital, must be notified and updated at the Business Registration Office of the Department of Planning and Investment. This helps ensure that business information is always accurate and valid on the system.
  • Compliance with regulations for conditional business lines: If your business operates in a sector that requires specific business conditions (e.g. security services, transportation, logistics, or other specialized industries), you will need to obtain additional licenses. Businesses should proactively research and complete the necessary licensing procedures before starting operations.
  • Check the legality of the head office location: The company's headquarters must have a clear and legal address. Note that it is usually not allowed to locate headquarters in apartment buildings or collective housing areas if these locations do not have a business function, unless the competent authority has permitted the change of purpose of use.

‼️Getting a Business Registration Certificate is just the beginning. Then there is a series of mandatory, complicated and time-bound legal procedures that any business must complete:

  • Announcement of business registration content to the National Portal within 30 days.
  • Seal engraving, seal sample notification, Open a bank account and notify the tax authorities.
  • Tax registration and pay the license fee.
  •  Release electronic invoice and digital signature under new regulations
  • Register for work and participate social insurance full for staff
