The following Law on Traffic will guide basic business registration in 2025.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">To carry out business registration procedures, you need to go through the following basic steps:<\/span><\/p>\n<p><b>Step 1: Prepare business establishment documents<\/b><\/p>\n<p><b><\/b><span style=\"font-weight: 400;\"><strong>\u27a1\ufe0f Choose the right type of business <\/strong>with the company&#039;s business goals and plans. In Vietnam, you have the right to choose from the following types of businesses:<\/span><span style=\"font-weight: 400;\"><br \/>\n<\/span><\/p>\n<ul>\n<li><span style=\"font-weight: 400;\">Joint Stock Company (JSC)<\/span><\/li>\n<li><span style=\"font-weight: 400;\">One Member LLC<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Limited liability company with two or more members<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Partnership<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Private enterprise <\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">\u27a1\ufe0f\u00a0<strong>Drafting business establishment documents<\/strong>:<\/span><span style=\"font-weight: 400;\"><br \/>\n<\/span><\/p>\n<ul>\n<li><span style=\"font-weight: 400;\">\u00a0Business registration application.<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u00a0Company charter.<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u00a0List of founding shareholders and list of shareholders who are foreign investors (for JSC).<\/span><\/li>\n<li><span style=\"font-weight: 400;\">\u00a0List of members (for LLCs with two or more members and partnerships).<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">\u27a1\ufe0f<strong>Prepare certified copies of accompanying documents<\/strong>:<\/span><\/p>\n<ul>\n<li><span style=\"font-weight: 400;\">Identity of shareholders and company members is the company&#039;s individual.<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Business registration certificate of members and shareholders who are organizations. For members who are foreign organizations, a copy of legal documents<\/span><span style=\"font-weight: 400;\"> of the organization must be consular legalized.<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Investment registration certificate for members who are economic organizations with foreign investment capital.<\/span><\/li>\n<li><span style=\"font-weight: 400;\">Legal documents of the individual for the legal representative of the enterprise.<\/span><\/li>\n<\/ul>\n<p><b>Step 2: Submit application for business registration<\/b><\/p>\n<p><b><\/b><span style=\"font-weight: 400;\">Business founders submit the following form:<\/span><\/p>\n<ul>\n<li><span style=\"font-weight: 400;\"><b>Submit directly<\/b> at the Business Registration Office.<\/span><\/li>\n<li><span style=\"font-weight: 400;\"><strong>Submit online:<\/strong> Register a business online at the National Business Registration Portal at: <a href=\"https:\/\/dangkykinhdoanh.gov.vn\">https:\/\/dangkykinhdoanh.gov.vn<\/a><\/span><span style=\"font-weight: 400;\"><br \/>\n<\/span><span style=\"font-weight: 400;\">Business founders can authorize organizations or individuals to carry out business registration procedures.<\/span><\/li>\n<\/ul>\n<p><strong>Step 3: Get results<\/strong><\/p>\n<p><span style=\"font-weight: 400;\">In case of receiving sufficient valid documents, the Business Registration Office - Department of Finance will issue the Business Registration Certificate within 03 working days.<\/span><span style=\"font-weight: 400;\"><br \/>\n<\/span><span style=\"font-weight: 400;\">Result received: Certificate of business registration.<\/span><\/p>\n<p><strong>* Note after registering to establish a business<\/strong><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Fully fulfill tax obligations:<\/b><span style=\"font-weight: 400;\"> Enterprises are responsible for declaring and paying taxes according to regulations, including Value Added Tax (VAT), Corporate Income Tax (CIT), and Personal Income Tax (PIT). At the same time, financial reporting and tax settlement must be done within the prescribed time limit.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Timely update of business information:<\/b><span style=\"font-weight: 400;\"> Any changes related to business registration information such as company name, head office address, legal representative, or charter capital, must be notified and updated at the Business Registration Office of the Department of Planning and Investment. This helps ensure that business information is always accurate and valid on the system.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><b>Compliance with regulations for conditional business lines:<\/b><span style=\"font-weight: 400;\"> If your business operates in a sector that requires specific business conditions (e.g. security services, transportation, logistics, or other specialized industries), you will need to obtain additional licenses. Businesses should proactively research and complete the necessary licensing procedures before starting operations.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><strong>Check the legality of the head office location<\/strong><b style=\"color: #555555; font-size: 14.4px;\">:<\/b><span style=\"font-weight: 400;\"> The company&#039;s headquarters must have a clear and legal address. Note that it is usually not allowed to locate headquarters in apartment buildings or collective housing areas if these locations do not have a business function, unless the competent authority has permitted the change of purpose of use.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">\u203c\ufe0fGetting a Business Registration Certificate is just the beginning.
